Welcome to CertOf™! These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and CertOf™ (“we,” “us,” “our”) governing your access to and use of our website, services, and related applications (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms & User Eligibility

These Terms apply to all visitors, users, and others who access the Service. You represent and warrant that you are at least 18 years of age or the age of legal majority in your jurisdiction and have the full legal capacity to enter into this agreement. If you are under 18, you may only use the Service with the consent and supervision of a parent or legal guardian.

2. Description of Service & Right to Modify

We grant you a limited, non-exclusive, non-transferable license to access and use our certified translation services. We are constantly changing and improving our Service, and we reserve the right to modify, suspend, or discontinue any part or all of the Service at our sole discretion, at any time, without prior notice.

3. Intellectual Property Rights

a) Your Content

You retain full ownership of all files, data, and materials you upload to the Service (“Your Content”). You hereby grant CertOf™ a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, process, modify, and distribute Your Content for the sole purpose of providing, maintaining, protecting, and improving the Service.

b) Our Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality, including but not limited to all software, text, images, logos, and designs, are and will remain the exclusive property of CertOf™ and its licensors, protected by copyright, trademark, and other intellectual property laws.

4. User Responsibilities and Conduct

You are solely responsible for Your Content and all your activity in connection with the Service. You agree not to engage in any of the following prohibited activities:

  • Uploading or transmitting any content that is unlawful, defamatory, infringing on third-party rights, harassing, or otherwise objectionable.
  • Attempting to hack, reverse-engineer, decompile, or otherwise interfere with the security or proper functioning of our Service.
  • Using your account for any illegal purpose.
  • Reselling or distributing our Service without our express written permission.
  • Creating false accounts, impersonating others, or providing inaccurate information.

You warrant that you have all necessary legal rights to upload Your Content and that Your Content does not violate any copyright, trademark, privacy, or other legal rights of any third party.

5. Account Termination

We reserve the right to suspend or terminate your access to the Service and your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

6. Disclaimers and Limitation of Liability

a) “As-Is” Service

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

b) Limitation of Liability

IN NO EVENT SHALL CERTOF™, NOR ITS DIRECTORS, EMPLOYEES, OR LICENSORS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS STRICTLY GOVERNED BY THE SCOPE AND CONDITIONS SET FORTH IN OUR REFUND & COMPENSATION POLICY. FOR ANY CLAIMS NOT EXPRESSLY COVERED BY THAT POLICY, OUR MAXIMUM AGGREGATE LIABILITY SHALL BE LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD).

7. Indemnification

You agree to defend, indemnify, and hold harmless CertOf™ from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or the rights of a third-party.

8. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts located in Haidian District, Beijing, China.

9. General Terms

These Terms constitute the entire agreement between you and CertOf™ regarding our Service. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.
