PT PMA Registration in Bandung: Documents, OSS and Compliance
PT PMA registration in Bandung is not one application handled by one Bandung office. Foreign shareholder documents enter Indonesia through a notary and the national corporate registry, business licensing runs through OSS, and the proposed premises may trigger separate Kota Bandung planning, building, environmental or sector reviews.
The first practical question is therefore not how quickly someone can translate a certificate of incorporation. It is whether the operating address is really inside Kota Bandung, whether the proposed activity fits that address, and which foreign records the selected Indonesian notary expects to receive. Translation should begin after those points are defined, but before incomplete or inconsistent records hold up the deed.
Key takeaways
- Confirm the municipality before signing a long lease. Kota Bandung, Kabupaten Bandung, Kabupaten Bandung Barat and Kota Cimahi are separate local governments. A property marketed simply as “Bandung” may not use Kota Bandung’s local service route.
- An NIB is not always permission to open. Indonesia’s OSS system assigns licensing requirements by business activity and risk. Some activities require a verified standard certificate, licence or supporting business approval after the NIB is issued.
- Check the premises against the business activity. A lease, old building approval or virtual-office agreement does not by itself prove that the site supports the selected KBLI activity. Planning, PBG, SLF and environmental questions can outlast the corporate-registration stage.
- “Certified translation” is a bridge term. The locally meaningful terms are terjemahan tersumpah and penerjemah tersumpah. Confirm with the notary which records require an Indonesian sworn translation, the required language direction and whether a signed paper version is needed.
Who this guide is for
This city guide is for foreign founders, overseas corporate shareholders, Indonesian co-founders and in-house teams establishing a foreign-owned PT PMA with an operating address inside Kota Bandung. It does not treat every property in the wider Bandung metropolitan area as though it were under the same municipal authority.
English-to-Indonesian is a likely working direction for many international company packets, but no reliable city dataset establishes a ranking of language pairs. Mandarin Chinese, Japanese, Korean and other corporate records may also arise. The decisive issue is whether the final translator is authorized for the actual source-to-Indonesian direction requested by the notary or receiving institution.
Typical packets include passports, foreign company extracts, articles or bylaws, board resolutions, powers of attorney, ownership charts, beneficial-owner details, a proposed lease, the Indonesian deed of establishment, AHU approval and OSS licensing records. This guide is particularly useful if:
- the overseas parent company will hold shares in the PT PMA;
- the notary has requested Indonesian versions of foreign records;
- the proposed address is described as Bandung but its municipality is unclear;
- the KBLI description, lease and intended operation do not obviously match;
- an NIB has been issued but the relevant operating approval is incomplete; or
- the new company is approaching its first LKPM and tax-system handover.
Why Bandung changes the workflow
Bandung is a metropolitan label, not a single licensing jurisdiction
A founder may be shown offices in Kota Bandung, industrial properties in Kabupaten Bandung, premises near Padalarang in Kabupaten Bandung Barat, or space in Kota Cimahi during the same property search. Those addresses do not share one municipal planning department or DPMPTSP.
Before paying a non-refundable deposit, obtain the complete address, including the kelurahan and kecamatan. Compare it with the title or landlord’s building records and identify the local government. Do not rely only on a listing’s city label, postal description or proximity to central Bandung.
A corporate address must also work as an operating address
Kota Bandung publishes local spatial-planning and building-service material through Dinas Cipta Karya, Bina Konstruksi dan Tata Ruang, commonly called Diciptabintar. Its materials include the city’s 2024–2044 detailed spatial plan and procedures connected with PBG and SLF.
The practical review should cover three separate questions:
- Jurisdiction: Is the parcel inside Kota Bandung?
- Permitted use: Is the proposed KBLI activity compatible with the planning designation and any applicable local restrictions?
- Building status: Do the building records and stated use support the planned office, shop, studio, training facility, restaurant, warehouse or other operation?
A polished lease translation cannot cure an unsuitable site. For businesses requiring technical verification, a landlord’s missing or mismatched building records may become the longest part of the project.
PT PMA registration in Bandung: the practical sequence
1. Define the real business before choosing the KBLI
Write a plain-language description of what the Bandung company will sell, where staff will work, whether customers visit, whether goods are stored, and whether the premises will be modified. Give that description to the notary or qualified Indonesian adviser before finalizing the KBLI codes.
The national rules governing foreign ownership, investment value, capital and business classification are too extensive to reproduce in a city guide. The current implementing framework is published in Minister of Investment and Downstream Industry/BKPM Regulation No. 5 of 2025. Its application can vary by activity, project location and sector-specific rule.
One counterintuitive distinction is especially important: the planned investment value and the company’s issued and paid-up capital are not the same figure. Do not copy a capital number from an older blog or another company’s deed.
2. Screen the Bandung address before committing to it
Ask the landlord for the exact parcel address and available planning and building records. Identify whether the location will be only a registered office or an actual operating site. A consultancy using ordinary office space presents different site questions from food service, manufacturing, healthcare, education, warehousing or customer-facing retail.
Where the lease depends on approval, consider making that dependency explicit in the commercial negotiations. Translation should cover the complete lease and relevant schedules if the Indonesian adviser needs to review foreign-language terms; translating only the signature page hides restrictions on use, alterations, renewal and termination.
3. Freeze the foreign shareholder packet
For an individual shareholder, the working packet may include a passport, proof of address, tax information, authority documents and records explaining a name difference. For a corporate shareholder, expect a broader set:
- certificate of incorporation or current registry extract;
- articles, bylaws or equivalent constitutional records;
- board or shareholder resolution approving the Indonesian investment;
- power of attorney for incorporation or signing;
- directors’ and authorized signatories’ details;
- ownership chart and ultimate beneficial-owner information; and
- any apostille, legalization or notarial pages requested for the particular document chain.
Ask the notary to identify the required documents, acceptable issue dates, authentication route, translation status and delivery format before ordering final translations. Apostille, notarization and sworn translation perform different functions; none should be added automatically to every page.
4. Translate the accepted source version
International clients commonly request a “certified translation.” In an Indonesian corporate or notarial workflow, the more useful question is whether the receiving notary requires a terjemahan tersumpah issued by a properly appointed penerjemah tersumpah.
Indonesia updated its sworn-translator framework in 2025. The Ministry of Law’s official appointment announcement describes translators appointed under that framework. Verify the named individual, appointment information and authorized language direction rather than relying only on an agency logo.
Do not convert that professional framework into an unsupported universal claim that every foreign corporate page always requires sworn translation. The selected notary and receiving authority should define the packet. If sworn sign-off is requested, confirm it before production begins.
For a deeper explanation of signer verification and language direction, CertOf’s Indonesian sworn-translator eligibility guide provides a useful verification model. That page concerns court evidence, so its litigation rules should not be treated as company-registration requirements.
5. Complete the Indonesian notarial and AHU stage
The Indonesian notary prepares the deed of establishment and submits the corporate application through the legal-entity administration system. The AHU limited-company service identifies the notary’s role in company-name and legal-entity processing and includes beneficial-owner data in the corporate workflow.
Before the deed is finalized, compare every recurring field across the source documents and translations:
- company names and suffixes;
- passport names and name order;
- director and signatory capacity;
- registration numbers and dates;
- share percentages and capital figures;
- addresses; and
- the business description used for KBLI selection.
Formatting is not cosmetic here. A detached apostille, missing schedule or inconsistent page sequence can make it unclear which version was approved. For difficult scans, follow a transparent reconstruction method rather than guessing missing text; see CertOf’s guide to accuracy, layout and verifiable document reconstruction.
6. Apply through OSS and read the result carefully
After the entity data are available, the business proceeds through OSS for its NIB and activity-specific licensing. The NIB identifies the business, but the remaining effect depends on the risk classification and sector.
Check each listed activity and project location. A company with several KBLI codes should not assume that one completed low-risk activity makes every other activity operational. Review whether OSS shows an unverified standard certificate, outstanding requirement, location issue, environmental commitment or PB UMKU requirement.
7. Hand over the company before advisers disappear from the project
Corporate formation is not complete from an operational perspective until the company controls its records and system access. Obtain:
- the executed deed and AHU approval;
- NIB and all activity attachments;
- copies of submitted foreign records and final translations;
- beneficial-owner data recorded during formation;
- OSS, corporate email and OTP control;
- NPWP and Coretax access arrangements;
- bank and capital-contribution records;
- a list of incomplete licences or commitments; and
- the first LKPM reporting date and responsible person.
Under the current national investment framework, medium and large businesses report LKPM quarterly, including through preparation and commercial-operation stages. The general deadlines under the 2025 regulation fall on April 15, July 15, October 15 and January 15, subject to official adjustments. A company with no revenue may still have preparation-stage investment, staffing or project progress to report.
Local offices and what each one can actually solve
| Resource | Use it for | Important boundary |
|---|---|---|
| DPMPTSP Kota Bandung Jl. Cianjur No. 34, Kota Bandung Published contact: 0811-207-5999 |
Kota Bandung licensing guidance, assisted service, application status questions and local complaints | It does not replace the notary or decide issues belonging to another municipality |
| Diciptabintar Kota Bandung | Local spatial-planning, PBG, SLF and building-use questions | Confirm the parcel is inside Kota Bandung before relying on this route |
| DPMPTSP Provinsi Jawa Barat Jl. Windu No. 26, Kota Bandung |
Provincial-authority matters and published NIB/LKPM assistance | The provincial and city DPMPTSP offices are different institutions |
| Indonesian notary | Deed preparation and AHU corporate submission | A notary is not automatically the provider of every sector licence, translation or tax service |
The DPMPTSP Kota Bandung portal publishes online licensing, OSS, complaint and public-service access. Its pages have displayed differing morning service times, so confirm the current counter hours and queue method before travelling. No sufficiently reliable official detail was available for a specific floor, parking arrangement, security procedure or permanent English-language counter; that information gap matters because an unnecessary visit will not resolve a national AHU or OSS issue.
Timing, costs and paper-delivery reality
There is no responsible single promise for the total duration of a Bandung PT PMA project. Treat it as linked stages:
- foreign-record collection and authentication;
- translation and corrections;
- notarial drafting and shareholder approval;
- AHU processing;
- OSS registration and risk-based requirements; and
- location, building, environmental or sector verification.
A fast AHU or NIB stage does not compensate for an unsuitable address. Likewise, a same-day translation does not help if the translator worked from an outdated registry extract or omitted the resolution’s schedules.
Government, notarial, translation, authentication, courier, advisory and premises-compliance charges should be separated in every quote. Ask whether the quoted translation scope includes apostille pages, seals, tables, handwriting, revisions and physical delivery. CertOf’s turnaround benchmarks can help plan production, but they do not predict government or notarial processing time.
Confirm whether the notary will review a PDF first and whether a signed paper translation is later required. If paper is needed, build courier time into the signing schedule. The comparison of PDF, editable and paper translation formats explains delivery differences without overriding the notary’s instructions.
Commercial service options: compare responsibilities, not slogans
Document and translation options
| Option | Useful for | What to verify |
|---|---|---|
| CertOf | Document translation, source inventory, formatting, consistency review and revisions before notarial review | State before ordering if an Indonesian Ministry-appointed sworn signer, a specific language direction or paper delivery is required |
| Named Indonesian sworn translator | Final terjemahan tersumpah when the receiving notary or authority requests it | Full name, appointment record, authorized direction, document scope, corrections and delivery format |
| General translation agency | Project coordination or working translations | Identify the individual who will sign; an agency stamp alone does not establish sworn-translator authority |
CertOf explains who signs its translation certificate and the quality checks used for certified translations. A standard CertOf certificate should not be represented as Indonesian sworn status unless the required signer and format have been specifically confirmed.
Legal and corporate services
| Provider type | Appropriate task | Due-diligence question |
|---|---|---|
| Bandung notary | Indonesian deed and AHU submission | Which foreign records, authentication steps, translations and originals are required before drafting? |
| Corporate or investment adviser | Ownership analysis, KBLI review, OSS coordination and sector routing | Which work is performed directly, which is referred, and who controls the OSS account? |
| Tax and payroll adviser | Coretax, bookkeeping, returns, payroll and employment handover | What begins immediately after incorporation, even before revenue? |
These tables are service models, not rankings or endorsements. Public reviews cannot prove notarial authority, sworn-translator status or competence for a particular KBLI.
Bandung workflow failures to prevent
The following failure patterns follow directly from the jurisdiction, OSS, building-record and document-control issues described above. They should be treated as practical warnings rather than anonymous testimonials or evidence that every applicant will encounter the same problem.
- The lease was signed before jurisdiction and permitted use were checked. The company then has to renegotiate, change its project location or use a different local authority.
- The team celebrated the NIB as the final licence. A standard certificate, environmental step or sector approval remained outstanding.
- The foreign parent sent an incomplete corporate packet. The translation covered the registry extract but not the board authority, constitutional documents or authentication pages.
- Names diverged across systems. Passport order, initials or corporate suffixes changed between the source, translation, deed, AHU and OSS data.
- No one owned the first LKPM deadline. The incorporation adviser finished the deed, while the accountant assumed reporting would begin only after revenue.
Local support and complaint routes
Use public resources before paying a commercial provider to answer a question that belongs to government:
- DPMPTSP Kota Bandung: local licensing guidance and assisted services for matters within city authority. The national SP4N-LAPOR! page for Pemerintah Kota Bandung provides a separate route for public-service complaints.
- Diciptabintar Kota Bandung: planning, PBG, SLF and building-use questions.
- DPMPTSP Jawa Barat: provincial matters and published LKPM assistance for West Java businesses.
- Ombudsman RI, West Java: escalation for alleged maladministration after the relevant service and complaint channels have been used. The West Java representative profile publishes its Bandung contact details.
Preserve the application number, screenshots, returned or rejected status, correspondence, payment evidence and a dated explanation of the requested remedy. A technical disagreement about KBLI or building use is not the same as a translation-quality complaint, and neither is automatically evidence of fraud.
Fraud and control warnings
- Do not pay for a “government connection” or guaranteed approval.
- Ask for the final notary’s and sworn translator’s names rather than accepting only a company brand.
- Do not let a provider retain the only email address, telephone number or OTP access for AHU-related records, OSS or Coretax.
- Separate official charges from notarial, translation, courier and consulting fees.
- Reject a virtual-office promise that ignores the actual KBLI, customer visits, storage, production or inspection requirements.
- Keep the exact source version that was translated; do not allow an adviser to replace pages without restarting the consistency check.
FAQ
Which Bandung office registers a PT PMA?
No single Bandung office completes the entire process. An Indonesian notary prepares the deed and submits the legal-entity application through AHU. OSS handles the NIB and risk-based business licensing. Kota Bandung agencies become important for matters such as local guidance, planning, building use, environment and city-authority permits.
What if my office is in Kabupaten Bandung or Cimahi?
Do not use the Kota Bandung local workflow merely because the address is marketed as Bandung. Confirm the kelurahan, kecamatan and municipality, then use the relevant regency or city authority for location-dependent matters.
Is an NIB enough to start operating?
It depends on the activity and risk level. The NIB may complete the licensing requirement for a low-risk activity, while other activities require a standard certificate, licence, PB UMKU or technical verification. Read the status of every KBLI and project location in OSS.
Do foreign company documents always need an Indonesian sworn translation?
Foreign-language records generally need an Indonesian version when the notary or receiving authority cannot use the source language, but do not assume one universal format for every document. Ask the selected notary which items require terjemahan tersumpah, which direction is required, and whether an electronic or paper version is acceptable.
Can I use an overseas certified translation?
It may be useful for review, but it is not automatically equivalent to a translation signed by an Indonesian-appointed penerjemah tersumpah. If sworn status is required, obtain the signer’s name and authorization details before ordering.
Does the sworn translator have to live in Bandung?
Do not select a translator by proximity alone. The important checks are the individual’s current appointment, authorized language direction, acceptance by the notary and ability to deliver the required format. Remote production may be practical when paper delivery is planned.
Does a new PT PMA file LKPM before earning revenue?
Potentially yes. The current framework distinguishes preparation-stage and operational or commercial reporting for medium and large businesses. Record investment expenditure and project progress from the beginning and confirm the first reporting period with the responsible adviser.
How long does PT PMA registration in Bandung take?
There is no reliable single duration. Document authentication, translation, notarial drafting, AHU, OSS and local site requirements run on different timelines. Ask for a stage-by-stage schedule and identify which stages depend on third parties or technical verification.
Prepare the foreign shareholder packet before translation begins
Send the complete source packet—not selected pages—to the translator and the Indonesian notary. Include registry records, articles, resolutions, powers of attorney, ownership information, stamps, reverse sides, schedules and authentication pages. Supply the notary’s written instructions whenever possible.
Upload the documents to CertOf for review. CertOf can assist with translation, formatting, page mapping, terminology consistency and revisions. If Indonesian sworn sign-off is required, disclose that requirement, language direction and delivery format before production. The online ordering guide explains how to prepare readable source files, and the hard-copy delivery guide covers questions to resolve before requesting paper shipment.
Service boundary: CertOf is not an Indonesian notary, law firm, tax adviser or government filing agent. It does not choose the ownership structure or KBLI, submit AHU or OSS applications, approve premises, obtain licences or guarantee acceptance. Those decisions remain with the Indonesian notary, qualified advisers and competent authorities.
