PT PMA post-incorporation compliance in Indonesia begins when the formation work appears to be finished. Once the company has its AHU approval, NPWP and NIB, its directors must take control of government-system access, reconcile capital evidence, prepare the first LKPM report and confirm who will maintain beneficial-ownership and tax records. Receiving certificate PDFs without the underlying accounts, filing histories and recovery details is not a complete handover.

The most difficult situation is often not a missing certificate. It is a broken control chain: the company owns the legal entity, but an outside party still controls a registered email address, telephone number, recovery method or filing role.

PT PMA post-incorporation compliance: the first 90 days

The 90-day structure below is an operational handover plan, not a statutory grace period. A filing deadline or change-reporting obligation can arise earlier.

Take control of four separate systems

A PDF is evidence of an output, not evidence that the company controls the system that produced it. The handover should cover four distinct control planes.

Do not revoke an incumbent administrator before the replacement has successfully logged in, recovered access and completed a controlled test. The objective is a documented transition, not an avoidable lockout.

Build the first LKPM calendar before revenue starts

Indonesia’s current investment-licensing framework is set out in Minister of Investment and Downstream Industry Regulation No. 5 of 2025. Medium and large businesses report LKPM quarterly, and PT PMA projects normally fall within the large-business investment framework, subject to any special sector rule.

The quarterly deadlines are:

  • Quarter 1: April 15
  • Quarter 2: July 15
  • Quarter 3: October 15
  • Quarter 4: January 15 of the following year

Do not infer the first filing date solely from the incorporation date. Check the reporting tasks shown for each project in the company’s OSS account, particularly when the NIB was issued near a quarter end. If the dashboard and formation records do not align, use the official OSS support channel at 169 rather than guessing.

Preparation is not the same as inactivity

Tahap persiapan covers a business that has not yet entered operational or commercial activity. During this stage, a company may be receiving capital, buying equipment, paying rent, developing software, fitting out premises, obtaining permits or engaging professional advisers. Those transactions can be relevant to investment realization even though sales revenue remains zero.

The counterintuitive point is that a zero-revenue company can have a non-zero compliance record. Filing zeros without reconciling actual expenditure is no safer than omitting a report. Regulation No. 5 of 2025 also identifies consecutive non-filing and specified patterns of reporting without additional realization as triggers for the administrative-warning process.

Switching to operational or commercial status

Receiving an NIB, opening a bank account or receiving shareholder money does not by itself prove that a project is commercially operating. When the business is ready and the applicable licensing conditions have been fulfilled, the OSS project record should reflect the transition to operational or commercial activity. Keeping a project indefinitely in preparation while invoices and commercial transactions show otherwise creates an avoidable inconsistency.

Reconcile four numbers before reporting investment

  1. Deed capital: the authorised, placed and paid-up capital recorded in the corporate documents.
  2. OSS investment plan: the planned project investment associated with the relevant KBLI, location and project record.
  3. Bank and accounting evidence: funds actually received and how they were classified as equity, shareholder loan, revenue or another item.
  4. LKPM realization: qualifying cumulative investment expenditure reported for the particular project and reporting stage.

These figures answer different questions and need not be identical. A defensible worksheet should map each reported amount to a bank entry, invoice or other source document and then to the correct OSS project. This is especially important when the company has several KBLIs or more than one project location.

Under the 2025 regulation, the minimum placed and paid-up capital for a PT PMA is generally IDR 2.5 billion per company unless another rule provides otherwise. Separate investment-plan thresholds and aggregation rules still apply, so the capital amount should not be presented as the company’s entire required investment.

The 12-month capital rule is frequently oversimplified as an absolute bank freeze. The regulation restricts transferring the funds out of the company account during that period but recognizes uses including purchasing assets, constructing buildings and funding company operations. The practical requirement is an evidence trail: corporate authority where applicable, bank movement, invoice, accounting entry and business purpose.

Beneficial-owner reporting does not end at incorporation

The BO file should identify the natural person or persons who ultimately own, control or benefit from the company. It should not merely reproduce the direct shareholder register. A foreign parent-company restructuring may change the ultimate controller even when the Indonesian PT PMA’s immediate shareholder remains unchanged.

Indonesia’s beneficial-ownership framework requires changes to be reported within three working days, annual updating, and supporting records to be retained for at least five years. Keep the ownership chart, foreign registry evidence, identity records, voting and control analysis, resolutions, filing receipt and the next review date together.

If a notary made the initial filing, obtain both the receipt and the analysis used to identify the BO. “The notary handled it” is not an internal control or a substitute for the company’s continuing update responsibility.

Coretax access should follow people and roles, not shared passwords

Coretax uses a natural person’s account to act for a legal entity through impersonate. The handover should identify the central PIC, confirm that the PIC can access the corporate profile, and document who has drafter or signer authority.

DJP’s official delegation guidance explains how authority can be assigned to employees or other parties. External tax advisers may need delegated access, but delegation is different from permanently controlling the PIC’s identity, email, telephone or OTP.

A workable access register records each person’s legal name, role, authority, start date, reviewer, recovery method and revocation date. Review it whenever a director, employee or adviser leaves. Do not circulate screenshots containing authentication codes or keep passwords in the incorporation file.

Employment obligations are triggered by what the company starts doing

Employment compliance should be treated as a trigger review, not as one universal form completed on incorporation day. Before hiring local employees, confirm the company’s current WLKP reporting position, BPJS registrations, payroll setup and withholding responsibilities. Before a foreign national performs work, obtain advice on the applicable RPTKA and immigration route; being named in the deed does not resolve every foreign-worker question.

Where certified or sworn translation fits

In this context, certified translation is a useful international bridge term, but the more precise Indonesian expressions are terjemahan tersumpah and penerjemah tersumpah. The correct product depends on the recipient and intended use.

There is no single rule making one translation format mandatory for every OSS, AHU, Coretax and bank document. Ask the actual recipient about language, translator status, apostille, original-document and format requirements before ordering. A foreign certification statement should not be represented as equivalent to an Indonesian sworn-translator appointment.

Practical failure points to test before accepting the handover

  • The NIB PDF exists, but no director can recover the OSS account.
  • The deed records paid-up capital, but the bank receipt was classified as a loan or unexplained transfer.
  • The LKPM worksheet reports one company total without mapping expenditure to OSS projects.
  • The company reports zero because it has no revenue, despite paying rent, equipment or development costs.
  • The direct foreign shareholder is unchanged, but an overseas transaction changed the ultimate BO.
  • A former adviser remains the Coretax PIC or signer after the engagement ends.
  • A company name, director name, address or amount is rendered differently across the deed, bank evidence and ownership chart.

Timing, cost and delivery realities

This is primarily a national, online-system workflow rather than a city-level counter or mailing process. OSS, AHU and Coretax records should therefore be transferred digitally with verified recovery control. A physical visit may still become necessary if identity, account or tax records cannot be resolved online, but the responsible office depends on the company’s registered data and issue.

There is no reliable nationwide processing time for account recovery, bank KYC, LKPM correction or sworn translation, and there is no statutory nationwide price for commercial translation. Obtain written scopes and quotations that identify the named translator, language direction, signing format, delivery method and revision policy. Government fees, professional fees and third-party disbursements should be itemized rather than combined into an unexplained handover charge.

Use official support first for system ownership or government-record problems. A translation provider can prepare documents but cannot restore an OSS account, change a BO record or determine the correct tax representative.

Fraud and account-control warnings

Treat requests for an OTP, remote-control access or payment to a personal account as warning signs. DJP’s official fraud notice warns against impersonation and confirms that DJP does not request OTPs or payment to personal accounts.

Preserve the message, sender, payment instructions and screenshots. Use the relevant agency’s complaint channel for a system or official-service problem. An unresolved public-service complaint can also be submitted through SP4N-LAPOR. A commercial dispute with a formation agent, suspected account intrusion and an official-system malfunction are different problems and should not be routed as if they were the same complaint.

Where the initial handover ends

The initial handover is complete when the company can independently access its systems, explain its BO analysis, reconcile capital and project expenditure, meet its first applicable LKPM cycle and identify employment or operational triggers.

Ongoing compliance continues beyond that point. Annual tax returns, RUPS and annual-report duties, BO updating, licence reviews, payroll, BPJS, audits where applicable and sector-specific obligations require their own calendar. Keeping those topics outside this guide prevents urgent first-cycle controls from being buried in an oversized annual checklist.

What must a PT PMA take over after receiving its NIB?

At minimum, take control of OSS access and recovery details, the full NIB and project record, AHU and BO documentation, Coretax roles, bank mandates, capital evidence and the filing calendar. A certificate-only delivery is incomplete if the company cannot independently access the systems behind it.

Does a newly incorporated PT PMA file LKPM before earning revenue?

Potentially yes. A project in tahap persiapan can have an LKPM obligation even without sales. Report actual preparation progress and qualifying investment rather than treating zero revenue as an automatic exemption.

When is the first LKPM due?

What is the difference between preparation and operational LKPM?

Can a formation consultant remain the main Coretax PIC?

Can the IDR 2.5 billion capital be used during the first 12 months?

The current rule is not an absolute freeze. It recognizes uses including asset purchases, building construction and company operations. Keep complete bank, invoice and accounting evidence showing how the funds were used.

Is beneficial-owner reporting finished once the notary submits it?

No. The company must monitor changes, perform its annual update and preserve its supporting analysis. A change in the overseas control chain may matter even if the direct Indonesian shareholder remains the same.

Do all foreign documents need an Indonesian sworn translation?
