The real problem: building one legally usable document chain

The Ukrainian registration framework requires foreign-founder documents to be presented in the prescribed form. A document written in a foreign language must be translated into the state language, with the accuracy of the translation or the translator’s signature certified according to law. The precise documents depend on whether the founder is an individual or a legal entity and on the authority being exercised. The central practical question is therefore not, “Can this text be translated?” It is, “Can the source document, authentication, translation, signatory authority and notarial act be read as one continuous and internally consistent chain?”

An apostille does not certify that a company remains active, that a director still has authority or that a translation is accurate. It authenticates the origin of the relevant public signature, the signer’s capacity and, where applicable, the seal or stamp. An old incorporation certificate can therefore be authentic while still failing to provide the current status information requested for registration.

Choose the authentication route before ordering translation

The Ukrainian Ministry of Foreign Affairs explains that foreign official documents generally require legalisation or an apostille unless an applicable law or treaty provides otherwise. Crucially, an apostille for a foreign-issued document must be obtained in the country where that document was issued. Ukraine cannot add the foreign apostille after the packet arrives. A private board resolution or power of attorney may not be directly apostillable. Depending on the issuing country’s law, it may first need notarisation or another public certification that creates the signature or seal the apostille authority can authenticate.

Do not rely on a static country list copied from a commercial provider. Convention participation, treaty relationships and objections between states must be checked for the specific issuing country and intended use.

Which foreign documents usually need preparation?

  • Passport pages showing the legal name, date of birth, nationality and document details.
  • A foreign-signed power of attorney if a representative will sign or file in Ukraine.
  • Name-chain evidence, such as a marriage certificate or name-change record, when other documents use a different name.

  • Every notarial endorsement, apostille or legalisation sheet attached to the document.

Foreign corporate founder

  • A current extract from the applicable commercial, company, bank or court register.
  • A certificate of incorporation, legal existence or good standing where it complements rather than replaces the current extract.
  • A board or shareholder resolution authorising formation of the Ukrainian company.
  • A power of attorney defining the representative’s signing and filing powers.
  • An incumbency certificate, director register or comparable record proving the signatory’s office and authority.
  • Articles or bylaws if needed to establish authority, ownership or corporate capacity.
  • Ownership-structure records, intermediate-company documents and UBO identity evidence where applicable.

The registration minimum and the supporting packet requested by a notary, lawyer or bank are not necessarily identical. Do not turn a bank KYC checklist into an assumed company-registration checklist. The safest order for Ukraine company registration document translation

  1. Ask the filing professional for a document-specific checklist. Identify the intended registrar, notary or CNAP route and disclose the issuing country, legal form and ownership structure.
  2. Order the correct source version. Determine whether the recipient needs an original, certified copy, current electronic extract or paper extract.
  3. Complete authentication in the issuing country. Obtain the apostille or follow the legalisation chain unless a verified treaty exemption applies.
  4. Freeze names and terminology. Create one reference sheet for passport spelling, Ukrainian transliteration, company name, legal form, registration number, officer titles and ownership percentages.
  5. Translate the complete authenticated packet. Include the main document, attachments, apostille, notarial wording, seals, stamps, handwritten entries and text identifying the signatory’s capacity.
  6. Arrange the Ukrainian notarial step. Confirm whether the selected notary will certify the translation itself or the translator’s signature and which qualification documents must be produced.
  7. Run a final consistency review. Compare the translation against the registration application, resolution, power of attorney, ownership structure and UBO documents before filing.

The counterintuitive point is that translating earlier can create more work. If an apostille is attached after translation, the filing packet has changed and the new authentication page remains untranslated. The previous translation may need to be rebuilt, re-certified and reattached.

What does a Ukrainian notary actually certify?

“Notarized translation” can describe two different acts under Ukrainian procedure. If the notary knows both the source language and Ukrainian, the notary may certify the accuracy of the translation. If the notary does not know one of the languages, a translator performs the work and the notary certifies the authenticity of that translator’s signature.

The distinction matters because certification of a signature is not an independent linguistic review by the notary. The notary identifies the translator and checks the qualification evidence required for the act. Chapter 8 of the official Ukrainian notarial procedure governs this distinction. It also states that the translation is made from the complete text of the document.

Ukraine does not use an ATA-style rule under which one overseas professional-association credential automatically controls acceptance. The term “certified translation” remains useful internationally, but a foreign accuracy certificate does not by itself prove that the Ukrainian notarial form has been completed. Ask the filing notary what must be signed in the notary’s presence and what evidence of translator qualifications will be accepted.

Self-translation and machine translation can be useful for internal review, but they are risky filing formats. The decisive question is whether the translator and certification can satisfy the receiving notary and registrar—not whether the text looks understandable.

How foreign founders actually submit in Ukraine

Diia’s model-charter LLC service should not be treated as the default route for a foreign founder. The official Diia LLC registration page states that the online service is available to Ukrainian citizens and directs a foreigner or resident to the nearest CNAP. Depending on the case, a Ukrainian notary or another authorised state registrar may also receive and process the registration.

This creates a document-preparation reality that differs from the simplified online experience:

  • The receiving professional can inspect the relationship between the original, authentication and translation.
  • The translator’s identity and qualification evidence may have to fit the selected notarial procedure.
  • Office availability, appointments and document delivery can change, particularly under wartime operating conditions.
  • An electronic extract, electronic apostille or scanned copy should not be assumed acceptable until the receiving registrar or notary confirms the format.

Timing, cost and international delivery

There is no dependable nationwide package price covering foreign document retrieval, apostille, translation, Ukrainian notarisation, courier charges and registration representation. These are separate services provided in different jurisdictions. Ask for an itemised quotation showing each component.

Build the schedule backward from the planned filing date. Corporate-status extracts and UBO identity certifications can be freshness-sensitive, so do not order and translate them months in advance. Ask the receiving professional to confirm the current date requirement before the source authority issues the document.

The efficient sequence is usually to prepare stable documents—such as draft resolutions, powers of attorney and terminology instructions—first, while ordering time-sensitive registry evidence close enough to filing to preserve its usefulness. Do not send irreplaceable originals to an unverified intermediary, and do not rely on a fixed international courier estimate during disrupted operating conditions.

Five filing mistakes to avoid

  1. Ordering the register extract too early. Authentication, courier delivery, translation and notarial processing can consume the useful filing window.
  2. Translating before authentication is complete. A later apostille or legalisation page will not be covered by the existing translation.
  3. Using different Ukrainian spellings. The same founder, UBO or officer should not acquire different transliterations in the passport translation, resolution and POA.

A translator must understand what the source record says without silently converting it into a Ukrainian document type that carries a different legal meaning. The filing professional must separately decide whether that record is sufficient evidence for registration. Accurate translation cannot repair a source document that does not establish current status or signing authority.

Before paying anyone who claims to arrange Ukrainian notarisation, verify the notary through the NAIS registers. Be cautious if a provider guarantees registration, says every foreign document requires the same apostille route, refuses to identify the notary, or quotes one unexplained fee for retrieval, authentication, translation and filing.
