What Ukraine means by a UBO and ownership structure

The local term for ultimate beneficial owner is кінцевий бенефіціарний власник, usually abbreviated to КБВ. The Ukrainian Ministry of Finance describes a UBO as a natural person who exercises decisive influence over a legal entity, including through a chain of ownership or control. It describes the ownership structure as a documented system of relationships capable of identifying all UBOs, their control relationships, or a properly established absence of a UBO. Direct ownership of at least 25% of capital or voting rights is an indicator of decisive influence. Indirect ownership through companies, trusts or similar arrangements can also meet that test. But percentage ownership is not the entire analysis. Rights to control assets, receive income, determine management composition, shape voting results or impose major business decisions may identify a UBO even below 25%.

The reverse is also important: a person who formally holds 25% or more but acts only as a nominee, commercial agent or intermediary is not automatically the real UBO. The company must identify the natural person who ultimately owns or controls it. How to build Ukraine UBO ownership structure documents

1. Start with the Ukrainian company and work upward

Place the proposed Ukrainian company at the bottom of the chart. Add every direct founder or shareholder above it. If a shareholder is a legal entity, continue through each parent, partnership, trust or foundation until the chain reaches natural persons or reaches a legally supportable conclusion that no individual UBO exists.

For each entity, record its exact legal name, jurisdiction, registration number and ownership or voting percentage. Do not replace a registered name with a trading name. For each natural person, record the identity details required for the filing and describe the nature and degree of beneficial ownership or influence.

A certificate of incorporation may prove that a company was formed, but it may not identify its current shareholders. A good-standing certificate may confirm continued existence without proving ownership. Match the document to the fact represented by the arrow instead of ordering translations of every corporate document indiscriminately.

3. Prepare the identity layer

Use the UBO’s current passport details and check citizenship, date of birth, residence information and tax identifiers where applicable. Ukraine’s current registration law should be checked for the precise filing package, including the ownership structure, identity evidence and records required when a founder is a foreign legal entity. Passport names deserve a separate consistency check. A middle name omitted from a corporate register, a previous surname in an older shareholder record or a different Ukrainian transliteration can make one person look like several. 4. Reconcile ownership and control percentages

Show the percentage at each ownership level and, where helpful, the resulting indirect interest. Label those figures clearly. A reader should not have to guess whether 60% refers to the immediate holding or the natural person’s effective interest after several layers.

How foreign founders submit the registration file

Ukraine’s substantive UBO rules are national. The practical filing nodes are state registrars, administrative service centres known as ЦНАП or CNAP, and authorised notaries. This article therefore does not list city offices or suggest that one city applies a different UBO threshold.

The automated Diia route is not a general solution for foreign founders. Diia states that its online LLC service is available to Ukrainian citizens and directs foreign applicants to a CNAP. Why the bank may ask for more

A bank’s customer due diligence is a second review, not a rubber stamp of ЄДР. National Bank guidance explains that a regulated institution may use official documents, foreign registers and other open sources and should not rely exclusively on ЄДР when establishing and verifying a UBO. The bank may ask for:

  • newer registry extracts for intermediate companies;
  • constitutional or shareholder records missing from the registration packet;
  • trust, nominee or voting documents;
  • an explanation of business purpose and expected transactions;
  • source-of-funds or source-of-wealth evidence where the risk assessment requires it;
  • clarification of PEP, sanctions, residence or high-risk jurisdiction connections;
  • a reconciliation memo addressing differences between the chart, ЄДР and bank questionnaire.

There is no universal public bank checklist for every multilayer foreign structure. Obtain the selected bank’s current requirements before ordering large translations. That avoids translating an outdated registry extract or discovering that the bank expects a different evidentiary record.

The discrepancy feedback loop

If a bank identifies a discrepancy between its due-diligence findings and the UBO or ownership-structure information in ЄДР, the matter may feed back into the registration system. Diia publishes processing times for its own online model-charter service, but those figures should not be presented as an end-to-end timeline for a foreign corporate chain. A foreign founder may first need a current registry record, authentication in the issuing country, international delivery, Ukrainian translation, notarial handling, registration and then a separate bank review.

No single nationwide official average covers that complete sequence. Costs likewise depend on the issuing countries, number of corporate layers, document length, authentication method, notarial work and whether the bank requests additional evidence. The useful planning approach is to price and schedule each dependency separately:

  • foreign registry and certified-copy fees;
  • apostille or legalisation where required;

A document adequate to prove incorporation may not prove current ownership, and a record accepted for registration may not answer a bank’s control or source-of-funds questions.

Experiences with a particular bank, city or processing time should not be treated as a national rule. Internal risk assessments change, and the same bank may request different evidence for a direct individual owner and a structure involving trusts, nominees, sanctioned connections or opaque intermediate entities.

Fraud warnings and complaint routes

Be cautious with intermediaries promising registration and a bank account within a fixed number of days, claiming that no foreign ownership evidence is needed, or offering to substitute a nominee for the real controller. Translation, notarisation and company registration do not remove AML obligations.

For a bank-service problem, first make a written complaint to the bank and retain the request, documents and response. A legal entity may then use the National Bank’s official citizens and legal-entity appeals channel where the issue falls within NBU competence.
